REVO Insurance: no agreement reached on the potential acquisition of Eurocaution S.A.
Verona, 8 October 2026 – REVO Insurance S.p.A. (“REVO” or the “Company”) announces that, as part of the process initiated for the potential acquisition of the entire share capital of Eurocaution S.A. (“Eurocaution”), a Luxembourg- based company active in insurance intermediation in the surety bond sector, the parties have not reached an agreement on the terms of a Share Purchase Agreement (“SPA”) within the envisaged timeframe and, broadly, about the contractual documentation; accordingly, the Company will not proceed with the proposed acquisition of Eurocaution, while retaining the possibility of exploring potential commercial collaborations with Eurocaution in the future.
The Company confirms that the non-completion of the potential transaction does not affect its strategic and financial objectives. In this regard, the Company confirms its targets for 2028, which remain based on the expected development of the Group through organic growth.
The Company will continue to pursue its international development strategy, initiated in 2024 with the establishment of the Iberia Branch. In parallel, the Company will continue to assess, on a selective basis and in accordance with its strategic and financial discipline, potential external growth opportunities that are consistent with the Group’s strategic objectives and capable of creating value for its shareholders.
